1. Who these terms are with

This website is operated by Minnovate Networks LLC, a limited liability company based in Elk River, Minnesota ("Minnovate", "we", "us"). By using this website you agree to these terms. If you do not agree, please do not use the site.

2. This website is not a service agreement

Nothing on this website constitutes an offer capable of acceptance, and nothing here creates a service relationship. Managed services, software licences and project work are each governed by a separate written agreement signed by both parties.

Where this website and a signed agreement differ, the signed agreement governs. That includes anything on our pricing page, in a calculator result, in a blog post or in marketing copy.

3. Estimates are estimates

Any figure produced by a calculator or estimator on this site is an indication based on the inputs you provided. It is not a quote, it is not binding on either party, and it does not account for the specifics of your environment. A quote is issued in writing after an assessment.

4. Information here is general

Articles and guidance published on this site are general information about security and technology practice. They are not legal advice, not compliance certification, and not a substitute for professional advice about your own situation.

In particular, nothing on this site certifies HIPAA compliance, and no vendor can. The HIPAA Security Rule requires you to assess and address your own risks. We can help you implement controls and keep evidence of them; we cannot make you compliant by assertion, and neither can anyone else.

5. Acceptable use

You agree not to:

• Use this site for any unlawful purpose.
• Attempt to gain unauthorised access to any part of the site or its hosting.
• Probe, scan or test the vulnerability of the site or any related system without our prior written permission.
• Interfere with the site's operation, including through automated traffic that degrades service for others.
• Submit false information through our contact form, or use it to send unsolicited commercial messages.

If you believe you have found a security issue with this site, we would genuinely rather hear about it. Email admin@minnovatenetworks.comwith the details and give us reasonable time to respond before disclosing publicly.

6. Intellectual property

The content, design and code of this site belong to Minnovate or its licensors. You may read, print and share pages for your own reference. You may not republish our content as your own, or use our name, logo or product names in a way that suggests endorsement or affiliation that does not exist.

Product and company names mentioned on this site, including Ironscales, Microsoft and Microsoft 365, are the property of their respective owners and are used only to describe what we work with.

7. Third-party links

This site links to other websites, including our own products at prophypost.com and prophycapture.com, which have their own terms. We are not responsible for the content or practices of any third-party site.

8. Availability

We aim to keep this website available but do not guarantee it. We may change, suspend or withdraw any part of it at any time, and we may update these terms. Your continued use after a change means you accept the updated version. Material changes will be reflected in the effective date above.

9. Disclaimer and limitation of liability

This website is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, Minnovate is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data, arising from your use of this website. Some jurisdictions do not allow these exclusions, in which case they apply to the maximum extent permitted.

This section concerns the website. Liability under a service agreement is addressed in that agreement.

10. Governing law

These terms are governed by the laws of the State of Minnesota, without regard to its conflict of law rules. Any dispute relating to this website will be brought in the state or federal courts located in Minnesota.
